Terms of Service

1. Acceptance of Terms

By accessing or using the Agentixly website (agentixly.com) and our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

These terms apply to all visitors, users, and clients of Agentixly. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of any modifications.

2. Services Description

Agentixly provides technology services including but not limited to: web development, cloud and DevOps engineering, cybersecurity operations, SaaS product development, search engine optimization (SEO), and Generative Engine Optimization (GEO). All services are delivered by elite technology veterans with backgrounds in Israel's premier intelligence and technology units.

The specific scope, deliverables, timelines, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement between Agentixly and the client.

3. Client Obligations

Clients are responsible for providing accurate and complete information necessary for us to deliver our services. This includes timely access to systems, data, and personnel as required by the project scope.

Clients must ensure they have the legal right and authority to provide any materials, data, or access credentials shared with Agentixly. Clients are responsible for maintaining backups of their own data and systems prior to any engagement.

4. Intellectual Property

Unless otherwise specified in a separate agreement, all custom code, designs, and deliverables created by Agentixly specifically for a client become the property of the client upon full payment. Agentixly retains the right to use general knowledge, techniques, and methodologies developed during an engagement for future projects.

Pre-existing intellectual property, proprietary tools, frameworks, and libraries developed by Agentixly prior to or independently of any client engagement remain the exclusive property of Agentixly. Any open-source components used in deliverables are subject to their respective licenses.

The Agentixly name, logo, and branding are trademarks of Agentixly. Clients may not use our branding without prior written consent.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of an engagement. This obligation survives the termination of any agreement between the parties.

Agentixly employs military-grade security protocols for handling all client data and communications. Our team members are trained in information security and adhere to strict need-to-know principles inherited from intelligence operations.

6. Payment Terms

Payment terms, schedules, and methods will be specified in the applicable Statement of Work or service agreement. Unless otherwise agreed, invoices are due within 30 days of issuance.

Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Agentixly reserves the right to suspend services if payment is more than 30 days overdue.

7. Warranties and Disclaimers

Agentixly warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any deficiencies in our work within a reasonable timeframe after notification.

Except as expressly stated herein, all services are provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Agentixly does not guarantee specific results from SEO, GEO, or digital marketing services, as search engine algorithms and AI systems are controlled by third parties and subject to change without notice.

8. Limitation of Liability

To the maximum extent permitted by law, Agentixly's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

In no event shall Agentixly be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.

9. Termination

Either party may terminate a service engagement with 30 days written notice. Upon termination, the client is responsible for payment for all services rendered up to the termination date.

Agentixly reserves the right to terminate services immediately if the client breaches any material term of these terms or the applicable service agreement, or if continued service would expose Agentixly to legal liability.

10. Website Use

You may use the Agentixly website for lawful purposes only. You agree not to use the website in any way that could damage, disable, overburden, or impair our servers or interfere with any other party's use of the website.

You may not attempt to gain unauthorized access to any portion of the website, other accounts, computer systems, or networks connected to the website through hacking, password mining, or any other means.

All content on the Agentixly website, including text, graphics, logos, and images, is the property of Agentixly and is protected by applicable intellectual property laws.

11. Indemnification

Clients agree to indemnify and hold harmless Agentixly, its officers, employees, and agents from any claims, damages, losses, or expenses arising from the client's breach of these terms, misuse of delivered services, or violation of any applicable law or regulation.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

13. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
